Terms and Conditions of Sale (B2B)
Freelance web development services - Belgium
These terms apply exclusively to professional clients (B2B). They govern services provided by Nurvision (Abdel Mekchouche), unless specific conditions are agreed in a signed quote.
1. Purpose and scope
Nurvision provides web design, development, maintenance and consulting services. Any order implies acceptance of these terms.
2. Order and contract formation
The contract is formed when the quote is signed (or through equivalent written acceptance). The quote defines scope, deliverables, timing, pricing and specific conditions.
3. Prices, VAT and deposit
Prices are in euros, excluding VAT unless stated otherwise. Nurvision VAT number is BE1025150438. A 30% to 50% deposit may be required at project start depending on scope.
4. Invoicing and payment terms
Unless otherwise stated in the quote, invoices are payable within 30 calendar days from issue date. Nurvision may invoice by project milestones.
5. Late payment
In case of delay, statutory late-payment interest and compensation may apply under Belgian B2B payment-delay law. Nurvision may suspend services until payment is regularised.
6. Deliverables, deadlines and acceptance
Deliverables and deadlines are defined in the quote. The client has 7 business days after milestone delivery to issue reasoned reservations; otherwise the milestone is deemed accepted.
7. Scope changes
Any request outside the initial scope (change request) is subject to additional pricing and may impact delivery timelines.
8. Client obligations
The client must provide accurate information, required content in due time, required technical access, and warrants having rights on any content provided.
9. Intellectual property
Unless agreed otherwise, economic rights on custom deliverables are transferred to the client only after full payment. Pre-existing components, tools, know-how and generic modules remain Nurvision property.
10. Confidentiality
Each party undertakes to keep confidential all sensitive information received during the project, except where disclosure is required by law or agreed in writing.
11. Warranty and bug fixing
Nurvision fixes reproducible defects attributable to its own development for 30 days after go-live. Exclusions: third-party changes, misuse, or out-of-scope evolutions.
12. Limitation of liability
Nurvision liability is limited to proven direct damages, capped at the net amount paid by the client for the service causing the damage. Indirect damages (loss of business, data, revenue, etc.) are excluded except in case of wilful misconduct or gross negligence.
13. Force majeure
Neither party is liable for delay or non-performance caused by force majeure events. If such event lasts more than 30 days, either party may terminate in writing, with payment due for work already performed.
14. Termination
In case of serious breach, either party may terminate after formal notice remaining ineffective for 15 calendar days. If the client stops the project without Nurvision fault, completed work and committed costs remain payable pro rata.
15. Contract hierarchy
In case of contradiction, the specific terms of the signed quote prevail over these general terms.
16. Governing law and jurisdiction
The contract is governed by Belgian law. Any dispute falls under the courts of the judicial district of Brussels, unless mandatory law requires otherwise.
